Constitution and Bylaws

Preamble

We, the members of AI SafeGuard, a diverse group of cybersecurity, Trust and Safety experts, policymakers, and concerned individuals, united by a shared commitment to ensuring the safe and beneficial development and use of artificial intelligence (AI), do hereby establish this Constitution and Bylaws to govern our organization and its activities.

Article I: Mission

Section 1.1: The mission of AI SafeGuard is to:

  • Raise awareness of the potential security or safety gaps of AI and promote the development of safe and beneficial AI systems.
  • Lower the bar for everyone to evaluate the security posture of an AI product or algorithm and make informed decisions to remediate risks.
  • Advocate for policies and regulations that ensure the responsible development and use of AI.

Article II: Vision

Section 2.1: AI SafeGuard envisions a future in which:

  • AI is used safely and beneficially to solve some of the world’s most pressing problems.
  • Humans and AI coexist peacefully and productively.

Article III: Membership

  • Section 3.1: Membership in AI SafeGuard shall be open to individuals who share the organization’s mission and vision and are committed to its goals.
  • Section 3.2: Categories of membership shall be established by the Board of Directors, which may include regular members, student members, organizational members, and honorary members.
  • Section 3.3: The rights and responsibilities of each membership category shall be defined in the Bylaws.

Article IV: Governance

  • Section 4.1: AI SafeGuard shall be governed by a Board of Directors elected by the membership.
  • Section 4.2: The Board of Directors shall be responsible for the overall management of the organization, including setting strategic direction, approving budgets, and overseeing the activities of the organization.
  • Section 4.3: The officers of AI SafeGuard shall be elected by the Board of Directors and shall include a President, Vice President, Secretary, and Treasurer.

Article V: Activities

  • Section 5.1: AI SafeGuard shall carry out its mission through a variety of activities, including:
    • Researching and publishing reports on the safety and security of AI systems
    • Developing educational materials and training programs
    • Convening conferences and workshops
    • Advocating for responsible AI policies and regulations
    • Collaborating with other organizations

Article VI: Amendments

  • Section 6.1: This Constitution may be amended by a two-thirds vote of the membership present at a duly constituted meeting.

Bylaws

The Bylaws of AI SafeGuard shall further define the organization’s structure, governance, and operations, including:

  • Membership categories and requirements
  • Election procedures for the Board of Directors and officers
  • Duties and responsibilities of the Board of Directors and officers
  • Financial management
  • Conflict resolution procedures
  • Dissolution procedures

These Bylaws may be amended by a majority vote of the Board of Directors.
